What this estimate doesn't capture

The number above is a starting point, not a sale price. Three things move it the most in either direction:

  • Owner-dependence. Businesses that run without the owner sell for higher multiples. If you hold the key customer relationships or daily decisions, buyers discount the price.
  • Customer and supplier concentration. If any one customer is more than 15–20% of revenue, that risk shows up as a lower multiple.
  • Growth trajectory. Three years of clean, growing EBITDA earns the top of the range. Flat or declining earnings earn the bottom.

How buyers actually price your business

For most Upper Main Street and Lower Middle Market businesses, the price is expressed as a multiple of adjusted EBITDA. The multiple reflects how risky and how transferable buyers believe your cash flow is. Bigger, cleaner, less owner-dependent businesses earn higher multiples; smaller, owner-dependent, or volatile businesses earn lower ones.
